Buying or Selling a Business
Our corporate team advise and assist on over 50 transactions a year with a value ranging from £0 to £15 million with most deals being around the £2-£3 million mark. Ideally we like to become involved at an early stage and to encourage that position our terms of business state that we will not charge until outline heads of terms have been agreed.
Our reasoning for becoming involved at an early stage is because the structure of the transaction has a huge impact on how the deal is conducted. If there is deferred consideration we will need to address the issue of security and if the value is based on the balance sheet we would want to consider preparing completion accounts.
The firm has grown significantly in the past 18 months and this has been largely due to the effectiveness of our corporate team. When acting on a transaction we live and breathe that transaction working exceptionally hard to get the right deal for our client. It is important that when clients choose an adviser for the sale or purchase of a business they select a firm with expertise in this area of law; so often we find that clients have retained their existing adviser who may have assisted on their house purchase or family matter. While good intentions are meant by the advice our corporate team would not dream of advising on say family law matters (we would refer the matter to our family law department).
